Terms of Service

1. Acceptance
By signing up, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a binding contract under the laws of your country. You must provide accurate information during signup and keep it up to date. You are responsible for all activity on your account and for keeping your credentials confidential. Notify us immediately of any unauthorised access.
3. Nature of the service
harrenapay provides escrow, payouts, wallets, payment links, and related payment workflow software. harrenapay is not a bank, does not hold customer deposits, and does not pay interest on balances. harrenapay operates under a sub-license with VFD MFB, which is CBN-licensed. Customer funds are held in segregated, regulated trust accounts and are never co-mingled with our operating capital.
4. Escrow and payouts
When you fund an escrow, the amount is held on your behalf and released to the seller only when the contractual conditions you agreed to are met, either by mutual confirmation, automatic release after the inspection window, or a decision by our dispute team. Payouts are queued for the next available settlement cycle of our payment partner.
We may delay or pause a transaction where required by law, risk controls, or an active dispute. We will notify you in-app when this happens.
5. KYC, KYB, and AML
To comply with Nigerian and international anti-money-laundering laws, we require verified identity (KYC) for individuals and verified business documents (KYB) for companies before unlocking higher transaction limits or payouts. We may request additional information at any time and may restrict features pending verification. Refusal or inability to verify may result in suspension or closure of your account.
6. Acceptable use
You agree not to use the Service to:
- Commit fraud, launder money, or finance illegal activity.
- Sell goods or services prohibited by Nigerian law, our payment partner's rules, or international sanctions.
- Misrepresent your identity, business, or the nature of a transaction.
- Reverse engineer, scrape, or interfere with the Service or its security controls.
- Abuse APIs, send spam, or attempt to overwhelm our infrastructure.
Violations may result in immediate suspension, fund holds, and reporting to regulators.
7. Fees and taxes
Fees are listed on our pricing page and may be updated with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new fees. You are responsible for any taxes, levies, or duties applicable to your transactions or business.
8. Disputes and chargebacks
Disputes are reviewed by our team using evidence submitted by both parties within the window stated in your plan. Our decision is final at the close of the resolution window, subject to any rights you may have under applicable law. Card chargebacks initiated by buyers are governed by the card scheme rules of our payment partner and may result in a reversal of funds even after escrow release.
9. Refunds
Refund handling is described in our Refund Policy, which forms part of these Terms.
10. Suspension and termination
We may suspend or close any account that violates these Terms, that we reasonably suspect of fraud or abuse, or where required by law or our payment partner. You may close your account at any time from your settings. Closure does not extinguish obligations that arose before closure, including outstanding fees, chargebacks, or unresolved disputes.
11. Intellectual property
The Service, including the harrenapay name, logo, and all software, is owned by Harrena Africa Synergy LTD and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, or create derivative works of the Service except as permitted by law.
12. Disclaimers and limitation of liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to the Service is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
13. Indemnity
You agree to indemnify and hold harmless Harrena Africa Synergy LTD, its officers, employees, and partners from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your transactions, or your violation of any law or third-party right.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved through good-faith discussion will be referred to arbitration in Lagos under the Arbitration and Mediation Act 2023, before a single arbitrator agreed by both parties. Nothing in this clause prevents either party from seeking urgent interim relief from a competent court.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
